Public contract of purchase and sale

An individual entrepreneur, Tkachenko Darina Yuriivna, which sells goods using the tenditni.com.ua portal, hereinafter referred to as the “Seller”, on the basis of Articles 633, 634 of the Civil Code of Ukraine, offers any natural person who has legal capacity and all the necessary rights and powers to conclude and execute this Public Contract (hereinafter referred to as the "Buyer", hereinafter collectively referred to as the "Parties") to enter into this Public Purchase and Sale Agreement (hereinafter referred to as the "Public agreement") about the following:

  1. TERMS USED IN THE AGREEMENT

1.1. Public offer (hereinafter - "Offer") - a public offer of the Seller, addressed to an indefinite circle of persons endowed with legal capacity and all the necessary rights and powers, for the conclusion and execution of this Public Agreement, in order to conclude with the Seller a Public Agreement for the purchase and sale of goods remotely on the terms , which is set forth in this Offer.

1.2. Order for the purchase of Goods on the website of the online store — items specified by the Buyer from the range of Goods offered for sale, subject to the application for the purchase of the Goods on the website of the Online Store or through the Operator.

1.3. Acceptance is the giving of the Buyer's full and unconditional consent to the Seller's offer to enter into a Public Contract on the terms and conditions stipulated in this Public Contract.

1.4. The Goods is jewelry made of precious metals and precious/semi-precious stones, related products, in quantity, assortment and price, presented in the online store on the tenditni.com.ua website.

1.5. Online store — official online store located at the web address: https://www.tenditni.com.ua/

  1. SUBJECT OF THE AGREEMENT

     2.1. According to the terms of this Public Agreement, the Seller undertakes to transfer the Goods offered for sale in the online store to the Buyer, and the Buyer undertakes to accept the Goods and pay for them in the order and under the conditions stipulated by this Public Agreement.

2.2. The name of the Product, its main characteristics, the metal alloy and its stamp, the weight and size of the Product, the name, are indicated in the description of each relevant Product presented in the online store.

  1. ACCEPTANCE OF THE AGREEMENT

3.1. Confirmation of the acceptance of this Offer is the Buyer's Order for the purchase of the Product placed on the website of the online store.

3.2. From the moment the Seller receives the Order for the purchase of the Goods, the Public Contract is considered concluded without its further signing by the Parties.

  1. PROCESSING AN ORDER FOR THE PURCHASE OF GOODS

4.1. The order for the purchase of the Product is made by the Buyer by phone specified on the website of the online store or through the service of the website of the online store tenditni.com.ua.

4.2. The order for the purchase of the Product contains the name of the Product, the metal alloy and its stamp, the weight and size of the selected Product, the name, the price of the Product, the form of payment and the method of delivery of the Product, information about the Buyer (surname, first name, patronymic, phone number, e-mail address). In order to place an Order for the purchase of the Product, you must provide all the information requested.

4.3. When placing an Order for the purchase of Goods through the website of the online store, the Buyer undertakes to provide the following registration information:

4.3.1. Surname, first name, patronymic of the Buyer or the person indicated by him (recipient).

4.3.2. Email address.

4.3.3. Phone number.

4.4. If the Seller needs additional information, he has the right to request it from the Buyer. If the Buyer does not provide the necessary information, the Seller is not responsible for the Goods selected by the Buyer, and the Seller has the right not to send the Goods to the Buyer until the requested additional information is received.

4.5. When placing an Order through the Operator (paragraph 4.1 of this Offer), the Buyer undertakes to provide the information specified in para. 4.3. of this Offer.

4.6. Acceptance by the Buyer of the terms of this Offer is carried out by entering the relevant data into the Order form for the purchase of Goods on the website of the online store or when placing the Order through the Operator. After placing the Order through the Operator, the Buyer's data will be registered in the Seller's database. After approving the Order of the selected Product, the Buyer provides the Operator with the necessary information in accordance with the procedure specified in clause 4.3. of this Offer.

4.7. The Seller is not responsible for the content and veracity of the information provided by the Buyer when placing an Order for the purchase of Goods.

4.8. The buyer is responsible for the veracity of the information provided when placing the order for the purchase of the goods.

4.9. The Seller undertakes to contact the Buyer by e-mail or telephone indicated by the Buyer within one working day (24 hours) from the moment of placing the Order for the purchase of the Goods to confirm the Order.

  1. PRICE AND PAYMENT PROCEDURE OF THE GOODS

5.1. The price of each item of the Product is indicated on the website of the online store at the time of ordering the Product, it requires confirmation by the Seller after receiving the Order for the purchase of the Product from the Buyer.

5.2. The Seller has the right to unilaterally change the price for any item of the Goods.

5.3. In the event of a price change for the ordered Goods, the Seller undertakes to inform the Buyer about the change in the price of the Goods within three working days.

5.4. The Buyer has the right to confirm or cancel the Order for the purchase of the Goods, if the price was changed by the Seller after the Order was placed.

5.5. The Seller indicates the cost of delivery of the Goods on the website of the online store or informs the Buyer when placing the Order for the purchase of the Goods by the Operator.

5.6. The Buyer's obligations to pay for the Goods are considered to have been fulfilled from the moment of receipt and crediting of the funds to the Seller.

5.7. Payments for the Goods between the Seller and the Buyer are made by the methods specified on the website of the online store at the web address: https:/payment and delivery

  1. DELIVERY AND TRANSFER OF THE GOODS TO THE BUYER

6.1. The Seller provides or organizes services for the delivery of the Goods to the Buyer by one of the methods indicated on the website of the online store at the web address: https://payment and delivery.

6.2. The place of delivery of the Goods is indicated by the Buyer to the Seller, confirming the Order for the purchase of the Goods.

6.3. Goods are delivered to any country in the world and throughout the territory of Ukraine, with the exception of temporarily occupied territories. Delivery to the territory of the russian federation and the republic of belarus is not possible.

6.4. The term of delivery of the Goods to the Buyer consists of the term of processing the order and the term of delivery, and is:

6.4.1. For all Products that are in stock, the Order is sent within 1-3 working days.

6.4.2. In the case of a pre-order, the Seller may require 14-21 business days after payment confirmation to manufacture the jewelry.

6.4.3. At another time agreed by the Buyer and the Seller.

6.5. Ownership of the Goods is transferred to the Buyer from the moment the Goods are transferred to the Buyer by any of the prescribed methods and are paid by the Buyer.

6.6. The buyer undertakes to check the purchased jewelry for quality and completeness at the time of receipt and to declare his claims at the time of receipt of the Goods. Otherwise, the tenditni.com.ua online store has the right not to consider claims regarding the quality and completeness of the sold Goods, except for cases clearly provided for by the current legislation of Ukraine.

  1. QUALITY OF GOODS. OUR PRODUCT WARRANTY

7.1. The quality of the Goods offered by the Seller through the online store meets the requirements and standards stipulated by the current legislation of Ukraine for this category of goods.

7.2. The seller provides a guarantee for the Goods for the period specified by the manufacturer of the Goods.

7.3. The Buyer's rights in cases of detection of defects in the purchased Goods are provided for by the current legislation of Ukraine.

7.4. Delivery to the Seller of the Goods, in which the Buyer has identified defects, is carried out at the Buyer's expense.

  1. RESPONSIBILITY OF THE PARTIES

8.1. For non-fulfillment or improper fulfillment of the obligations of this Agreement, the Parties bear the responsibility provided for by the current legislation of Ukraine.

8.2. The seller does not guarantee uninterrupted and error-free operation of the Site and is not responsible for:

- delay, interruption, losses that occur due to a malfunction of any electronic or mechanical equipment that does not belong to the Seller;

- problems with data transmission or connection that arose through no fault of the Seller;

- the quality of public communication channels through which the Site is accessed;

- blocking access to the Site as a result of the actions of third parties.

However, the Seller undertakes to make all reasonable efforts to prevent this and will take all possible measures to eliminate problems that may arise.

8.3. Complaints or claims of Users/Buyers must be made in writing. The Seller will take all necessary measures to satisfy the complaints/claims of Users/Buyers, provided they are justified and properly processed in accordance with the current legislation of Ukraine.

8.4. All disputes, disagreements and claims arising from this Agreement or in connection with it, including those related to its implementation, violation, termination or invalidity, are subject to resolution in the appropriate court in accordance with the current legislation of Ukraine.

  1. PUBLIC CONTRACT DURATION

9.1. The Public Contract enters into legal force from the moment of its acceptance by the Buyer and is valid until the Parties fully fulfill their obligations stipulated by this Public Contract.

9.2. The public contract can be prematurely terminated by mutual agreement of the Parties.

9.3. The Public Agreement may be terminated by the Seller in case of breach by the Buyer of its obligations under this Public Agreement or the Terms and Conditions set forth in the Agreement, available for review at the Internet address: https://

  1. OTHER TERMS AND CONDITIONS

10.1. Disputes between the Parties that have arisen in connection with non-fulfillment of obligations under this Agreement shall be resolved through negotiations. In case of impossibility of resolving disputes through negotiations, such disputes are subject to judicial resolution in accordance with the current legislation of Ukraine.

10.2. The Seller has the right to make changes to the Offer without notifying the Buyer, which take effect from the moment the Seller makes the changes by posting them on this website.

10.3. The Buyer, while on the Seller's website, gives permission to the Seller to process his personal data in accordance with the Law of Ukraine "On the Protection of Personal Data". The buyer confirms that he is familiar with the rights enshrined in the Law of Ukraine "On the Protection of Personal Data".

10.4. The public contract is concluded by joining the Buyer to the Contract proposed by the Seller in full by accepting all the essential terms of the Contract without signing a written copy and has legal force in accordance with the provisions of Art. 633, 634 of the Civil Code of Ukraine. The buyer cannot offer his terms of the Public Contract.

10.5. Unconditional and full acceptance of the terms of the Public Contract by the Buyer is concluded through the Buyer's actions aimed at purchasing the Goods provided for in the Public Contract, regardless of other conditions.

10.6. By specifying his personal data, the Buyer allows the Seller and its partners to send information, in particular of an advertising nature, by e-mail or SMS messages.

10.7. The Buyer allows the Seller to record and store telephone calls, letters, messages, in particular electronic ones, related to the execution of the Buyer's Order for the purchase of Goods and obligations under this Agreement.
